Acceptance
By downloading, installing, activating, or using TradeReplay, you agree to these Terms, the Privacy Policy, and the Refund Policy. If you do not agree, do not install or use the software.
软件授权
免费版可永久使用，但受官网版本对比中列明的功能与数量限制。专业版为个人、非独占、不可转让的软件使用许可，默认最多激活 2 台设备。
淘宝购买的专业版为一次买断授权；WHOP 销售的国际版按购买页显示的授权期限提供。购买页、订单或激活信息中明确列出的期限优先适用。
更换电脑前可在软件中解绑旧设备。授权只允许购买者本人使用，不得共享、出租、转售或公开激活码。
Software license
Free may be used indefinitely subject to the feature and quantity limits shown in the edition comparison. Pro is a personal, non-exclusive, non-transferable software license for up to two activated devices by default.
Pro purchased through Taobao is offered as a perpetual license. The international edition sold through Whop follows the license term shown at checkout. A term stated on the product page, order, or activation record controls.
You may deactivate an old device before moving to a new computer. The license is for the purchaser only and may not be shared, rented, resold, or published.

TradeReplay 用于历史行情回放、模拟训练、账单复盘、策略测试与统计分析。软件不接收资金，不连接券商执行真实交易，也不提供投资、法律或税务建议。

Training and analysis, not financial advice
TradeReplay is built for historical replay, simulated practice, statement review, strategy testing, and statistical analysis. It does not hold funds, execute live brokerage orders, or provide investment, legal, or tax advice.
- Simulation, backtests, and historical statistics do not predict future performance.
- Live results may differ because of slippage, liquidity, latency, fees, and human behaviour.
- Mentor AI output is for review only, may be inaccurate, and is not a trading instruction.
- You are solely responsible for your trading decisions and results.
你的数据
你导入或创建的交易、训练、日志、指标和系统定义归你所有。核心数据库保存在本机，你负责保管电脑、备份文件、自有 S3 凭据和 AI API Key。
在移动资料库、恢复备份、删除数据或卸载软件前，请确认已有可用备份。TradeReplay 不对因设备损坏、误删、第三方云服务或凭据泄露造成的损失负责，但法律另有规定的除外。
Your data
You own the trades, practice sessions, journals, indicators, and systems you import or create. The core database stays local, and you are responsible for your computer, backups, user-owned S3 credentials, and AI API keys.
Before moving a library, restoring a backup, deleting data, or uninstalling, confirm that you have a usable backup. TradeReplay is not responsible for losses caused by device failure, accidental deletion, third-party cloud services, or compromised credentials, except where law requires otherwise.
购买与退款
付款由淘宝或 WHOP 处理。价格、税费、授权期限和付款币种以结账页面为准。购买后，你会获得用于激活专业版的授权信息。
退款适用 退款政策、购买平台规则和强制适用的消费者保护法律。退款完成后，对应专业版授权可能被撤销。
Purchase and refunds
Payment is processed by Taobao or Whop. Price, tax, license term, and currency are shown at checkout. After purchase, you receive the license information needed to activate Pro.
Refunds are governed by the Refund Policy, the purchase platform's rules, and mandatory consumer law. A refunded Pro license may be revoked.
允许的使用
除法律明确允许的范围外，你不得破解、反编译、绕过授权或功能限制、复制或出售软件，不得滥用行情下载、授权接口或其他服务，也不得利用软件侵犯他人权利或从事违法活动。
Permitted use
Except where law expressly permits it, you may not crack, decompile, bypass licensing or feature limits, copy or resell the software, abuse market-data or license services, infringe another person's rights, or use the software for unlawful activity.
第三方服务
支付平台、行情分发、AI 服务商和你选择的 S3 服务均由第三方运营，其可用性、价格和数据处理适用各自条款。TradeReplay 不控制第三方服务，也不保证其持续可用。
Third-party services
Payment platforms, market-data delivery, AI providers, and any S3 service you select are operated by third parties. Their availability, pricing, and data processing are governed by their own terms. TradeReplay does not control or guarantee those services.
更新与可用性
我们会持续修复和更新软件，但不保证所有功能、行情源或第三方接口永久保持不变。永久授权是对已购买专业版的持续使用许可，不代表永久提供未来新增功能、云服务、行情数据或对未来操作系统的兼容。
严重违反本条款、滥用服务或共享授权时，我们可以暂停相关授权或服务访问。
Updates and availability
We maintain and update the software, but do not guarantee that every feature, data source, or third-party integration will remain unchanged forever. A perpetual license grants ongoing use of the purchased Pro edition; it does not promise every future feature, cloud service, market-data feed, or compatibility with future operating systems.
We may suspend a license or service access for material breach, service abuse, or license sharing.
责任范围
软件按“现状”提供。在法律允许的最大范围内，我们不对交易损失、利润损失、间接损失或第三方服务造成的损失承担责任。与软件有关的累计责任不超过你为该授权实际支付的金额。
本条款不排除或限制适用法律不能排除的消费者权利。争议发生时，请先通过 支持页面 联系我们。
Liability
The software is provided “as is.” To the maximum extent permitted by law, we are not liable for trading loss, lost profit, indirect loss, or loss caused by a third-party service. Our total liability relating to the software will not exceed the amount you actually paid for the relevant license.
Nothing in these Terms excludes consumer rights that applicable law does not allow us to exclude. If a dispute arises, contact us first through the Support page.
